Terms of Sales (Commercial / B2B Orders)

1. Contract Formation

  • All orders are accepted by BLIGHTS only subject to these Terms of Sale, which form part of the sales contract.
  • A binding contract is established once BLIGHTS issues a written confirmation, quotation approval, or pro forma invoice signed or accepted by the Buyer.
  • These Terms override any conflicting terms proposed by the Buyer unless specifically agreed upon in writing by BLIGHTS.

2. Specification of Goods

  • Except as otherwise specified in the order confirmation, materials and methods of manufacture are at BLIGHTS’ discretion.
  • While BLIGHTS aims to produce goods of consistent quality, minor variations in color, texture, weight, or print alignment are considered acceptable within industry standards (±5% tolerance).
  • The Buyer is responsible for determining the suitability of the goods for any specific use unless explicitly agreed in writing.

3. Manufacturing Tolerances

Due to natural material variation, finished products may vary in size, color, texture, or print registration within acceptable limits. Such variations shall not constitute grounds for rejection.

4. Payment Terms

  • Unless otherwise agreed in writing:
  • Orders are processed upon acceptance of quotation and issuance of a Pro Forma Invoice.
  • Full payment is due before dispatch via Bank Transfer to BLIGHTS’ designated account.
  • No cash, card, or online payment gateway is used.
  • Prices are exclusive of applicable GST, export duties, or transport charges unless specified.
  • For approved credit customers, payment is due within 30 days from the date of invoice.
  • Interest of 2% per month may be charged on overdue payments.

5. Delivery & Risk

  • Delivery terms shall be as specified in the order form or quotation (EXW, FOB, CIF, etc.).
  • While every effort is made to deliver on schedule, BLIGHTS shall not be liable for delays caused by events beyond its control, including natural disasters, strikes, logistics issues, or government restrictions.
  • Risk in the goods passes to the Buyer upon dispatch. Title remains with BLIGHTS until full payment is received.

6. Title to Goods

  • Ownership of the goods remains with BLIGHTS until all sums due are paid in full.
  • In case of non-payment, BLIGHTS reserves the right to recover or resell such goods without prior notice.

7. Complaints and Claims

  • Any complaint must be made in writing within 7 days of delivery. Claims made after this period will not be accepted.
  • BLIGHTS’ liability is limited to repair, replacement, or refund of the defective goods at its discretion. No liability for consequential loss is accepted.

8. Artwork and Printing

  • If artwork, logos, or text are provided by the Buyer, BLIGHTS will produce as per approved proofs.
  • Color matching may vary slightly due to fabric type or material. BLIGHTS accepts no liability for errors in artwork approved by the Buyer.

9. Force Majeure

BLIGHTS is not liable for failure or delay due to circumstances beyond its control, including fire, flood, war, shortage of materials, transport delays, or governmental action.

10. Jurisdiction

All contracts are governed by Indian law and subject to the exclusive jurisdiction of Puducherry courts.
